Terms of Service & Licensing Agreement

1. Scope of Service

Songify.me (“we,” “our,” “us”) provides custom music creation services using a combination of AI-generated content and human mastering. By purchasing a custom song, you (“the Client”) agree to the terms below.

2. Rights Granted to the Client

Upon full payment, the Client is granted the following rights:

• Full Commercial Rights – The Client may reproduce, distribute, perform, broadcast, synchronize, and otherwise commercially exploit the completed work worldwide, in perpetuity, without further payment to Songify.me.
• Non-Exclusive License – Rights are granted on a non-exclusive basis. Songify.me and certain third-party generation providers used in production retain their own non-exclusive license rights in the work as described in Section 5.
• Modification Rights – The Client may modify, remix, or adapt the work for their own purposes.

3. Rights Retained by Songify.me

Songify.me retains the irrevocable right to:

• Use the completed work in marketing, advertising, portfolio showcases, and promotional materials.
• Distribute the work under the “Songify.me” label on streaming platforms, compilation albums, and social media.
• Monetize the work via digital streaming, physical media, synchronization licensing, or other commercial channels.
• Publish the work simultaneously with or after the Client’s release, under the same or different ISRC codes, allowing dual-label availability on streaming services.

4. Dual-Label Streaming

• Both the Client and Songify.me may release the same work under different labels and distributors.
• If released with the same ISRC, plays may be merged on streaming platforms. If released with different ISRCs, the releases may appear separately.
• Each party is responsible for ensuring their own metadata and distributor compliance to avoid takedowns.

5. Third-Party Generation Providers and License-Back

• Use of third-party providers – Songify.me may use unaffiliated audio generation providers as part of the production workflow. By submitting a brief, materials, or instructions, you authorize Songify.me to transmit your materials and the resulting outputs to these providers and to grant them any licenses required to host, process, generate, store, reproduce, adapt, perform, display, distribute, and otherwise use inputs and outputs to operate and improve their services.
• Provider rights are non-exclusive and cannot be opted out – These providers retain their own non-exclusive license rights in inputs and outputs created with their technology for the purposes above. These provider rights are a condition of using the service and are not subject to client opt-out, withdrawal, or removal requests.
• No exclusivity or uniqueness – Generative systems may create similar or identical material for different users who submit similar prompts. No exclusivity, uniqueness, or novelty is guaranteed in any output.
• Your commercial rights continue – The Client’s non-exclusive commercial use rights in Section 2 remain in place, subject to applicable platform rules and these Terms.
• Provider identity – For security and contractual reasons, Songify.me does not identify third-party providers in client-facing documentation.

6. AI-Generated Content Compliance

• Songify.me uses reputable generation providers whose paid plans permit commercial use of outputs. Those providers also retain their own non-exclusive license rights to inputs and outputs as needed to operate and improve their services, as described in Section 5.
• The Client acknowledges that the work may contain AI-generated elements blended with human production and mastering.

7. Intellectual Property Warranties

• Songify.me warrants that it will not knowingly use any third-party content requiring clearance without prior agreement.
• The Client warrants that any custom lyrics, references, or materials they provide do not infringe on third-party rights.

8. Limitation of Liability

Songify.me is not liable for any loss of revenue, takedowns, or disputes arising from third-party distributor or platform actions outside of our control.

9. Incorporation of Related Policies

By agreeing to these Terms of Service and Licensing Agreement, the Client also acknowledges and accepts the following additional policies, which are incorporated herein by reference and made part of these Terms as if fully set forth:

• Customer Rights Agreement
• Privacy Policy
• Refund Policy
• Acceptable Use Policy

The Client agrees to review and comply with these related policies, and understands that continued use of Songify.me services constitutes ongoing acceptance of any updates to these policies.

10. Acceptable Use

The Client agrees to comply with Songify.me’s Acceptable Use Policy, which is incorporated into these Terms by reference. Prohibited uses include, but are not limited to, unlawful activities, creation or distribution of hateful, infringing, or harmful content, misrepresentation of affiliation with Songify.me, and technical abuse of our website or services. Violations may result in cancellation of service, takedown of distributed works, and legal action.

11. Governing Law

These Terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict of law principles.
